Terms of Service

These Terms of Service ("Terms") govern your use of the Bizon Ag Tools website and tools (the "Service"), operated by Bizon, LLC ("Bizon," "we," "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

The Service

Bizon provides online calculators, planners, logs, environmental dashboards, and related tools for growers, gardeners, and homeowners, and (where offered) Bizon sensor hardware that streams readings to your dashboard and can send you alerts. Features and availability may change over time.

Using the Service without an account

Several tools work without signing up. These Terms apply to that use as well: using the Service at all means you accept them, whether or not you create an account.

• Work you do signed out is not saved. It stays in your browser and is lost when you close or reload the tab, and we cannot recover it, because we never received it. If you want your work kept, create an account.
• Which tools are open without an account may change at any time, and we may add, gate, or remove them.
• The disclaimers below, in particular "Not professional advice", apply in full to tools used without an account.

Accounts

• You must provide accurate information and keep your login credentials secure.
• You are responsible for activity under your account.
• You must be at least 16 years old to create an account.

Subscriptions, billing, and trials

• Some features require a paid plan (currently a Homeowner / Gardener plan and a Commercial plan). Pricing is shown on the plans page.
• Paid plans may include a free trial. Unless you cancel before the trial ends, the plan converts to a paid subscription and your payment method is charged.
• Subscriptions renew automatically each billing period until canceled. You can cancel anytime; cancellation stops future charges and access continues through the end of the current period.
• Payments are processed by Stripe. Except where required by law, fees already paid are non-refundable.
• We may change pricing with notice; changes apply to future billing periods.

Acceptable use

You agree not to misuse the Service, including by attempting to breach security, disrupt the Service, scrape or resell it, or use it unlawfully.

Not professional advice

The Service provides general information and estimates only. It is not professional agronomic, horticultural, environmental, financial, or legal advice, and it is not a substitute for testing, local expertise, or professional judgment. Recommendations (including fertilizer rates, water and lighting figures, soil and water interpretations, frost dates, and planting schedules) are estimates that depend on data and assumptions that may not match your specific conditions. You are solely responsible for decisions you make and actions you take. Always follow product labels and local regulations, and verify important decisions with a qualified professional or your local extension office. Handle fertilizers, amendments, and chemicals safely and lawfully.

Sensors, monitoring, and alerts

Where the Service shows live readings from Bizon sensors and sends alerts (by email or push notification), these are provided on a best-effort basis only. Readings may be delayed, inaccurate, incomplete, or unavailable, and alerts may be delayed or not delivered, because of sensors, connectivity, third-party services, your device or notification settings, power, or other factors outside our control. The Service is not a guaranteed monitoring, safety, or emergency-alerting system, and you should not rely on it as your only means of detecting a problem. Keep independent checks and safeguards for anything important, such as valuable crops.

Your content

You retain ownership of the data you enter, except for work you create under an organization's team seat, which is governed by "Team and organizational accounts" below. You grant us the limited rights needed to store and process your data to operate the Service. You are responsible for the accuracy of what you enter.

Signed out, there is nothing for you to grant us and nothing for us to store: what you enter stays in your browser. We are not responsible for work lost that way, since it was never sent to us.

Team and organizational accounts

A Commercial plan may include multiple seats. The person or organization that purchases it (the "team owner") can invite others (each a "team member") to use the Service under that plan.

• Work created for the team belongs to the organization. Content a team member creates while using a team seat, such as fertilizers and fertilizer target recipes, is created for the team owner's operation and is the property of the team owner, not the individual member. This work is marked as the team's at the time it is created.
• On removal, team work transfers to the owner. If a team member is removed from the team, the work they created under that team seat is transferred to the team owner's account and removed from the member's personal account. The member's own separate content, including anything they created outside of a team seat, remains theirs.
• Access is tied to the seat. A team member's paid access lasts only while they hold an active seat. When a member is removed, or the team's plan lapses or is cancelled, their access ends, though their own separate data and account remain.
• You are told when you join. When you accept an invitation to a team, we show you these ownership terms and ask you to agree before your account is created or joined.
• The team owner is responsible for their team, including who they invite and remove, and for having the right to do so.

You can download your own data at any time, on any plan, from your profile page.

Intellectual property

The Service, including its software, design, and content, is owned by Bizon and protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

Third-party services

The Service relies on third parties (including Google Firebase, Stripe, and climate-data providers). Their performance is outside our control, and your use of them may be subject to their own terms.

Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that results will be accurate or reliable.

Limitation of liability

To the maximum extent permitted by law, Bizon and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, crops, yield, or data, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the 12 months before the claim.

Indemnification

You agree to indemnify and hold Bizon harmless from claims and expenses arising out of your use of the Service or violation of these Terms.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service.

Assignment

You may not assign or transfer these Terms or your account without our consent. Bizon may assign or transfer these Terms, and its rights and obligations under them, including in connection with a merger, acquisition, financing, or a sale of all or part of its business or assets. These Terms bind and benefit the parties and their permitted successors and assigns.

Governing law

These Terms are governed by the laws of the State of Montana, USA, without regard to its conflict-of-laws rules. Any disputes will be handled in the state or federal courts located in Montana, unless applicable law provides otherwise.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above, and continued use of the Service means you accept the updated Terms.
